Inceptivate Referral Program Terms & Conditions

1. Overview

The Inceptivate Referral Program (“Program”) rewards current Inceptivate subscribers (“Referrers”) who introduce new paying subscribers (“Referees”) to the Inceptivate service (“Service”) operated by Point Clear, LLC (“Inceptivate”). This document governs participation in the Program.

2. Eligibility

To participate as a Referrer, you must: (a) have an active paid Inceptivate subscription; (b) be at least 18 years of age; (c) comply with all Inceptivate Terms of Service and Privacy Policy; and (d) have been a paid subscriber for a minimum of 14 consecutive days.

To be counted as a valid Referee, the referred person must: (a) not currently have or have previously had an Inceptivate subscription; (b) not share an email domain with the Referrer that would suggest self-referral; (c) complete signup using the Referrer’s referral link or email invite; (d) successfully complete their first paid billing cycle; and (e) not be flagged as a previously churned subscriber.

3. Rewards

For each valid Referee whose first paid invoice is successfully processed, the Referrer earns a Referral Credit equal to the lesser of the Referrer’s and the Referee’s monthly subscription price at the time of the Referee’s first paid invoice (the “Referral Credit”). If the Referrer and Referee are subscribed to the same plan, this equals one (1) free month of that subscription.

Referral Credits are issued as negative adjustments to the Referrer’s Stripe customer balance and applied automatically to subsequent invoices by Stripe. Credits cannot be exchanged for cash, transferred to another account, or redeemed outside of Inceptivate invoices.

Each valid Referee also receives a 30-day free trial period upon signup (extended from the standard 10-day trial) as the Referee’s incentive for using the referral link.

4. Annual Cap

A Referrer may earn a maximum of twelve (12) free months of subscription credit per calendar year through this Referral Program. This cap is specific to the Referral Program and operates independently from any other Inceptivate rewards program including the Inceptivate Data Contribution Points Program, which has its own separate 12-free-months-per-year cap. Once the Referral Program 12-month annual cap is reached, further valid referrals in the same calendar year are logged but generate no additional credit from this Program.

The cap resets at 00:00 UTC on January 1st each year. Unused credit on the Stripe customer balance does not expire and rolls forward.

5. Revocation

Inceptivate reserves the right to revoke Referral Credits under the following circumstances:

  • The Referee requests a refund of their first paid invoice within 30 days of payment

  • The Referee’s payment is reversed via chargeback, dispute, or failed payment recovery

  • The Referee’s account is identified as fraudulent or in violation of Inceptivate Terms of Service

  • Evidence emerges that the referral was self-initiated (same person on both sides)

  • Evidence emerges that the Referrer solicited the referral through spam, deceptive practices, or misrepresentation of the Service

Revoked credits are reversed via positive adjustment to the Referrer’s Stripe customer balance. The Referrer’s annual cap counter is decremented accordingly.

6. Subscription Changes

If a Referrer cancels their own Inceptivate subscription, they cease earning new Referral Credits from that date forward. Existing unused credit on their Stripe customer balance remains available and will apply against any future reactivated subscription invoices.

If a Referrer changes their subscription plan (e.g., upgrades from single-state to bundle), future Referral Credits are earned at the new plan’s price. Past credits already issued at the former plan’s price are not adjusted.

7. Prohibited Conduct

The following activities are prohibited and may result in Referrer account suspension, Referral Credit forfeiture, and/or termination of Inceptivate service:

  • Creating multiple Inceptivate accounts for the purpose of self-referral

  • Sharing referral links on spam platforms, coupon-aggregation sites, or in mass unsolicited communications

  • Misrepresenting the Service in order to induce sign-ups

  • Attempting to circumvent the annual cap through account creation, email aliasing, or other means

  • Scraping, reverse-engineering, or automated manipulation of the Referral Program infrastructure

  • Selling, trading, or distributing Referral Codes for compensation from third parties

8. Privacy

When a Referrer sends an email invite via the Referral Program, the Referee’s email address is stored in the Inceptivate Firestore database in association with the Referrer’s account. This data is used solely for administering the Program (tracking attribution, preventing duplicate invites, enforcing cap and churn protection). Referee email addresses are not sold, shared with third parties, or used for purposes outside the Program.

Inceptivate’s full Privacy Policy applies. By using the Program, Referrers acknowledge that they have permission to share invited Referees’ email addresses with Inceptivate for this purpose.

9. Tax Treatment

Referral Credits are promotional discounts on Inceptivate subscription fees. They are not cash payments, not compensation for services, and do not constitute taxable income. No 1099 forms or other tax documents are issued for Referral Credits. Referrers should consult their tax advisor regarding the treatment of subscription discounts in their jurisdiction.

10. Program Changes

Inceptivate reserves the right to modify, suspend, or terminate the Referral Program at any time for any reason. Material changes (including but not limited to reward amount, annual cap, eligibility criteria, or revocation terms) will be communicated to all paid-active subscribers via email at least 30 days before taking effect.

Non-material clarifications (typo corrections, wording improvements that do not change substance) may be made without advance notice but will be reflected in the version number and effective date at the top of this document.

11. Disputes

Disputes arising from the Program shall be resolved pursuant to the dispute resolution terms in the Inceptivate Terms of Service. Inceptivate’s determination of valid Referee status, credit amounts, and Program compliance is final.

12. Governing Law

This Program and these Terms are governed by the laws of the State of Louisiana, United States, without regard to conflict of law principles. Point Clear, LLC is the operating entity responsible for the Program.

13. Acceptance

By creating a Referral Invite, sharing a Referral Link, or otherwise participating in the Program, you acknowledge that you have read, understood, and agree to these Terms and Conditions in full. If you do not agree, you must not participate in the Program.
