1. Acceptance of Terms
By accessing or using Inceptivate ("Service"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use the Service.
2. Description of Service
Inceptivate provides access to newly registered business filings from state Secretary of State databases. The Service includes business data, Smart Alerts, interactive maps, and related features available through our web platform.
3. Subscription and Payment
- Subscriptions are billed monthly at the current rate per state
- A valid payment method is required to start your free trial
- You will not be charged until your 10-day trial period ends
- Subscriptions automatically renew unless cancelled before the renewal date
- You may cancel anytime from your account dashboard
- No refunds are provided for partial billing periods
4. Free Trial Terms
New users are eligible for a one-time 10-day free trial. A valid payment method must be provided to activate the trial. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription and your payment method will be charged.
5. Acceptable Use
- Resell, redistribute, or commercially exploit the data without authorization
- Use automated systems to scrape or bulk download data
- Harass, spam, or engage in unsolicited contact with businesses in our database
- Violate any applicable laws or regulations in your use of the Service
- Attempt to circumvent security measures or access controls
6. Data Accuracy
Inceptivate maintains a written Data Ingestion Policy governing how filings are sourced, normalized, and presented across all states. Where state Secretary of State agencies publish complete officer or principal data, we surface it; where they do not, we report only the data the state actually publishes rather than synthesizing fields. While we strive to provide accurate and timely information, Inceptivate does not guarantee the accuracy, completeness, or timeliness of any data. Business filing information is sourced from public records and may contain errors or omissions. Users should verify information independently before making business decisions.
7. Service Availability and Data Delivery
While we aim to process and deliver business filing data promptly, delivery timing may vary due to factors including but not limited to: delays in state agency data publication, technical issues, third-party service disruptions, or system maintenance. We do not guarantee specific delivery timeframes. References to timing on our website (such as "within days") reflect typical performance under normal operating conditions and are not contractual commitments. Service interruptions or delays do not entitle users to refunds or credits unless otherwise determined at our sole discretion.
8. Limitation of Liability
Inceptivate shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you for the Service in the twelve months preceding the claim.
9. Termination
We reserve the right to suspend or terminate your account at any time for violation of these terms or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease.
10. Changes to Terms
We may modify these terms at any time. Continued use of the Service after changes constitutes acceptance of the modified terms. We will notify users of material changes via email or through the Service.
11. Force Majeure
We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to: government agency delays or changes in data availability, natural disasters, acts of war or terrorism, internet or telecommunications outages, power failures, third-party service provider failures, or any other cause beyond our reasonable control.

13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Orleans Parish, Louisiana.
14. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
15. Indemnification
You agree to indemnify, defend, and hold harmless Inceptivate, Point Clear LLC, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.
16. Age Requirement
This Service is intended for business use by individuals 18 years of age or older. By using the Service, you represent that you are at least 18 years old.
17. Intellectual Property
All content, features, branding, and functionality of this service are owned by Point Clear, LLC and are protected by applicable intellectual property laws. INCEPTIVATE™ is a trademark of Point Clear, LLC.
